North Dakota Secretary of State UCC Search Results Not Matching Filed Documents

Been dealing with a frustrating situation where I filed a UCC-1 for equipment financing on a construction company about 6 months ago. Everything seemed to go through fine - got confirmation number and all. But now when I do a north dakota secretary of state ucc search using both the debtor name and filing number, I'm getting inconsistent results. Sometimes it shows up, sometimes it doesn't. The debtor name on file is "Dakota Construction Solutions LLC" but I'm wondering if there's some variation causing search issues. Has anyone else run into problems with ND's UCC search system being unreliable? I need to verify this lien is properly perfected before we close on additional financing. The original filing was done through their online portal but I'm starting to question if something went wrong.

Just wanted to add that if you do find a name discrepancy, you'll need to file a UCC-3 amendment to correct it. Don't wait too long since there are timing issues with amendments affecting lien priority.

For name corrections, you generally want to do it ASAP. The amendment should relate back to the original filing date if done properly.

Right, and make sure to check if the name error is considered 'seriously misleading' under UCC Article 9. That affects whether the original filing was valid.

One more thing to check - make sure you're searching the right filing office. Some collateral types require filing at the county level instead of with the Secretary of State.

Really need some guidance here. Been working on a UCC-1 filing for equipment collateral and it got rejected by the state filing office. The rejection notice mentions something about 'debtor name verification against state records' but I'm not entirely sure what that means or how to fix it. The debtor is an LLC and I pulled the name directly from their operating agreement, but apparently that's not matching what's in the state corporate database. Agricultural lien UCC filing got rejected - debtor name issues

So I'm dealing with a nightmare situation here. We have this $380k equipment loan secured by farming equipment (tractors, combines, etc.) and our UCC-1 filing just got rejected by the Secretary of State office. The issue seems to be with the debtor name - the loan documents show 'Johnson Family Farms LLC' but apparently the state business registry has it as 'Johnson Family Farm, LLC' (with a comma). This is for an agricultural lien UCC and I'm freaking out because we need this perfected ASAP. The borrower is already using the equipment for spring planting season. Has anyone dealt with agricultural lien UCC filings where there's a slight name discrepancy like this? Do I need to refile with the exact name from state records or can I do an amendment? The rejection notice wasn't super clear about next steps.

Iowa Secretary of State has pretty good online resources for checking business entity names. I'd recommend pulling up their business entity search and using whatever name appears there exactly as formatted. Don't add or remove any punctuation.

Yeah Iowa's system is user-friendly. Much better than some other states I've dealt with.

The key is copying the name exactly as it appears in the state records. Even spacing matters sometimes.

For what it's worth, I filed a DC UCC-1 last month for equipment financing and it went through on the first try. Used the exact entity name from their online database and made sure my collateral description was specific. Maybe try starting completely fresh instead of amending your rejected filing?

Harris County UCC Filings - Rejected Three Times for Debtor Name Issues

I had the same issue with a Harris County UCC filing and it turned out to be a spacing problem. The entity name in their system had double spaces between words but I was using single spaces. Try looking at the exact formatting in their corporate database - sometimes it's tiny details like that.

UPDATE: I used that Certana.ai tool someone mentioned and found the problem! The entity's charter shows 'Advanced Manufacturing Solutions, LLC' with a comma before LLC, but I've been filing it as 'Advanced Manufacturing Solutions LLC' without the comma. Such a tiny detail but that's what was causing all the rejections. Just resubmitted with the correct formatting and it went through immediately. Thanks everyone for the suggestions!
